This Independent Contractor Agreement ("Agreement") is entered into by and between Contractor and Site Services Now ("SSN"), an Oregon corporation with its principal place of business located at P.O. Box 12277, Salem, Oregon 97309.

1. TERM

The initial term of this Agreement shall be for a period of one (1) year commencing on the effective date hereof and shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least thirty (30) days prior to the applicable renewal date.

2. SERVICES

During the term of this Agreement, Contractor shall perform installation, service, and repair services as assigned by SSN at locations designated by SSN from time to time. All work shall be performed in accordance with SSN requirements, customer standards, and applicable law.

3. RELATIONSHIP OF THE PARTIES

Contractor is and shall remain an independent contractor. Nothing contained in this Agreement shall be deemed to create any partnership, joint venture, agency, or employer-employee relationship between the parties.

4. CONFIDENTIALITY AND NON-SOLICITATION

Contractor acknowledges that all information provided by SSN is confidential and proprietary. Contractor shall not disclose such information or solicit, contact, or contract with any SSN customer or affiliated entity without SSN's prior written consent. Any breach of this Section shall constitute grounds for immediate termination and liability for damages.

5. PERFORMANCE AND APPLICATION REQUIREMENTS

Contractor shall perform all services in a professional and workmanlike manner. Contractor agrees to utilize the SSN mobile application for all jobs, including check-in, check-out, submission of job tickets, photographic documentation, and quality control approval prior to leaving the job site. Failure to submit required documentation while on-site may result in forfeiture of payment.

6. WARRANTY

Contractor shall warranty all work performed and shall return to the job site to correct any deficiencies arising from Contractor's workmanship at no additional cost to SSN. If Contractor fails to remedy warranty issues within the timeframe required by the customer and SSN engages another party to perform corrective work, SSN may offset the associated costs against any compensation otherwise payable to Contractor.

7. TOOLS AND SUPPLIES

Contractor shall provide and maintain all tools and supplies necessary to perform assigned services as specified in each work order. SSN shall provide manufacturer-required tool lists and scope of work documentation prior to dispatch. SSN shall facilitate access to manufacturer technical support while Contractor is on-site as needed.

8. EXPENSE REIMBURSEMENT

Reimbursable expenses (including but not limited to travel, fuel, and supplies) must be pre-approved by SSN in writing prior to purchase. Contractor shall submit itemized receipts within two (2) business days of project completion to qualify for reimbursement. Expenses not meeting these requirements may be denied. Tools are not reimbursable expenses.

9. ATTENDANCE; LATE ARRIVAL; NO-SHOW

Timely attendance at scheduled jobs is a material term of this Agreement.

Installation Jobs:

• 15-29 minutes late: 10% reduction in compensation
• 30-44 minutes late: 15% reduction in compensation
• 45+ minutes late: 20% reduction in compensation
• No-show without 24 hours' notice: 50% fee

Service Calls:

• 15-29 minutes late: 15% reduction in compensation
• 30-44 minutes late: 20% reduction in compensation
• 45+ minutes late: 30% reduction in compensation
• No-show without 24 hours' notice: 50% fee

Contractor agrees that such reductions constitute a reasonable estimate of damages incurred by SSN and are not penalties.

10. LATE DELIVERABLES

Contractor acknowledges that timely submission of all required deliverables through the SSN mobile application is mandatory. Late submission may result in a fee equal to ten percent (10%) of Contractor compensation per calendar day overdue, capped at thirty percent (30%). Failure to submit required documentation may result in a fee equal to twenty-five percent (25%) of Contractor compensation. Repeated violations may constitute a material breach of this Agreement.

11. INSURANCE AND MULTI-STATE COMPLIANCE

Contractor is solely responsible for compliance with all federal, state, and local insurance requirements applicable in each jurisdiction in which services are performed. Contractors with employees shall maintain workers' compensation insurance as required by law. Contractor shall also maintain:

• Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 aggregate
• Business Automobile Liability insurance with limits of not less than $1,000,000 per occurrence

SSN shall be named as an additional insured where permitted by law, and Contractor shall provide certificates of insurance prior to performing services.

12. PAYMENT

SSN shall compensate the Contractor in accordance with the applicable pay schedule. Payments shall be made via ACH, subject to offsets and compliance with this Agreement.

13. OFFSETS

SSN may offset any amounts owed by Contractor against any compensation otherwise payable.

14. TERMINATION

SSN may terminate this Agreement immediately upon material breach by Contractor.

15. JURISDICTIONAL OVERRIDE

If any provision of this Agreement conflicts with applicable law in the jurisdiction where services are performed, such law shall control solely to the extent of the conflict.

16. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

SSN shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the portal, including but not limited to loss of data, lost profits, or business interruption.

9. Modifications

SSN reserves the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to the portal. Your continued use of the portal after changes are posted constitutes acceptance of the modified terms.

10. Termination

SSN reserves the right to terminate or suspend your access to the portal at any time, with or without notice, for any reason, including violation of these Terms & Conditions.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.
